    ZoraSafe Terms of Service

    These Terms of Service ("Terms") govern your access to and use of ZoraSafe's websites, mobile applications, services, software, and related features (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

    ZoraSafe, Inc. ("ZoraSafe," "we," "us," or "our") is a Delaware company with principal mailing address: 8 THE GREEN STE B, DOVER, KENT COUNTY, DE 19901 US. Contact: legal@zorasafe.com.

    1. Eligibility; Accounts; Security

    You must be at least 18 to use the Services. The Services are not directed to children under 13. If you are 13–17, you may use the Services only with a parent/guardian's consent and supervision.

    You agree to provide accurate information, keep your credentials confidential, and promptly notify us of any unauthorized use of your account.

    2. Description of the Services

    ZoraSafe helps people reduce the risk of phone-based fraud and scams by offering, among other things:

    • • In-call safety tools (e.g., a user-initiated "Ask Zora" feature that can join a call with consent tones, provide Verified Callback to official numbers, optional coaching, and optional evidence capture).
    • • Behavioral risk analysis that evaluates interaction patterns (e.g., urgency, pressure tactics, payment steering)—not always-on recording.
    • • Post-call summaries and optional "evidence packs" (recording/transcript/metadata) the user can share with family, banks, or law enforcement.
    • • Community-speed protections that surface warnings and verification when clusters of similar scam signals appear in a region or partner network.
    • • Educational resources and security awareness content.
    • • Optional integrations for institutions (e.g., SSO/MDM/SCIM, SIEM/SOAR webhooks, branded caller/CNAM, number-reputation monitoring) under separate enterprise terms.

    We may improve, modify, or discontinue features at any time (see §14 and §25).

    3. Important Disclaimers

    No Emergency Service. The Services do not provide access to 911 or any emergency service. In an emergency, dial your local emergency number.

    Automated, Probabilistic Output. Alerts, risk scores, and guidance are automated and may contain errors (false positives/negatives). You are responsible for deciding how to proceed on any call.

    Third-Party Information. Verified Callback directories may incorporate data from third-party sources. We strive for accuracy but do not guarantee third-party numbers or content.

    4. Call Recording, Consent, and Telephony Notices

    Some features allow you to invite ZoraSafe into a call as a third line with audible consent tones. If you enable recording, the Service can record and process audio for your use (e.g., evidence packs).

    Your Responsibility for Consent. Call-recording and consent laws vary (e.g., "one-party" vs. "all-party/two-party" jurisdictions). You are responsible for obtaining all necessary consents from participants. Do not use recording where prohibited.

    No Always-On Listening. The Service analyzes content only when you invoke an applicable feature (e.g., tapping "Ask Zora," using a Shortcut/Quick Tile/NFC trigger, or merging our bridge line).

    Carrier/CPaaS. The Services rely on carriers and communications platforms (e.g., A2P/10DLC messaging, number pools). Service quality, availability, and delivery may vary.

    5. SMS/Voice Communications & E-Sign Consent

    By providing a phone number or email, you consent to receive service-related texts/calls/emails, which may be sent using automated systems (e.g., verification codes, alerts, feature notices). Message/data rates may apply. You can opt out of non-essential SMS by replying STOP. Some critical service notices may still be sent where legally permitted.

    6. Data; Evidence Packs; Retention & Deletion

    User Content. You may submit or generate content (e.g., call metadata, recordings, transcripts, notes). You retain your rights to your User Content and grant ZoraSafe a limited license to host, process, and display it solely to provide the Services to you and, if you direct, to your designated recipients (e.g., family, banks, law enforcement).

    Retention. Unless you choose otherwise, recordings you create are retained for 180 days and then deleted or anonymized; transcripts/metadata may be retained longer for security, analytics, and service improvement, subject to our Privacy Policy. You can delete recordings at any time in-app; deletion does not affect copies you already shared externally.

    No Biometric IDs Without Consent. We do not create or store biometric identifiers (e.g., voiceprints) unless you separately provide express written consent and receive all required notices under applicable laws.

    Privacy Policy. Our collection/use of personal information is described in our Privacy Policy (incorporated by reference). Using the Services means you agree to that policy.

    7. Acceptable Use (Prohibited Conduct)

    You agree not to:

    • • violate laws or third-party rights; secretly record where prohibited; stalk, harass, intimidate, or dox others;
    • • impersonate institutions or people; upload viruses or malicious code; attempt to gain unauthorized access to networks or data;
    • • use the Services for high-risk or emergency communications;
    • • upload payment card data, Social Security numbers, or similarly sensitive personal data except where expressly requested for a feature;
    • • interfere with or degrade the Services or other users' experience.

    We may suspend or terminate accounts for violations (see §22).

    8. Subscriptions; Billing; App Stores

    Plans and Auto-Renewal. Some features require a subscription. Unless otherwise stated, subscriptions auto-renew at the end of the term until canceled. You can cancel in your account settings or through the applicable app store at least 24 hours before renewal.

    Trials; Refunds. Trials, discounts, and refunds (if any) are governed by our policy and/or the app store's terms if you purchased there. App store purchases are subject to Apple/Google terms and refund handling.

    Taxes & Fees. Prices are exclusive of taxes and payment processing fees unless noted.

    9. Enterprise/Community Tenants (If Applicable)

    Institutional features (e.g., SSO/MDM/SCIM, SIEM/SOAR webhooks, branded caller/CNAM, number-reputation monitoring, admin dashboards) are provided under a separate Master Services Agreement (MSA), Order Form, and Data Processing Addendum (DPA). If there is a conflict, the executed MSA/Order Form controls for that tenant.

    10. Third-Party Services & Links

    The Services may depend on or link to third-party networks, software, directories, or content. ZoraSafe is not responsible for third-party availability, accuracy, or conduct.

    11. Intellectual Property; License; Feedback

    Our IP. The Services, software, and content are owned by ZoraSafe and protected by IP laws.

    Your License. We grant you a limited, revocable, non-exclusive, non-transferable license to install and use our apps for your personal, non-commercial use (or as permitted under an enterprise agreement).

    Feedback. If you send ideas or suggestions, you grant ZoraSafe a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

    12. Accessibility

    We are committed to accessibility and aim to support OS accessibility tools (e.g., VoiceOver/TalkBack) and follow industry guidelines (e.g., WCAG) on a reasonable-efforts basis. Contact support@zorasafe.com for accessibility help.

    13. Security

    We implement administrative, technical, and organizational safeguards (e.g., encryption in transit/at rest, least-privilege access, KMS rotation, audit logging). No system is 100% secure.

    14. Service Availability; Maintenance; Beta Features

    We strive for continuous availability but do not guarantee uninterrupted service. We may schedule maintenance or deploy emergency fixes. We may offer beta or pre-release features "as is"; they may change or be withdrawn at any time.

    15. Changes to the Services and the Terms

    We may modify the Services and these Terms. Material changes to the Terms will be notified by email and/or in-app at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance.

    16. Disclaimers

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORASAFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZORASAFE DOES NOT WARRANT THAT THE SERVICES WILL DETECT OR PREVENT ANY SCAM OR LOSS, OR THAT VERIFIED CALLBACK NUMBERS OR THIRD-PARTY INFORMATION ARE ERROR-FREE.

    17. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORASAFE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO ZORASAFE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS.

    ZORASAFE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

    Carve-outs. The above limitations do not apply to liability that cannot be limited under applicable law (e.g., willful misconduct, gross negligence), or to our IP indemnity obligations expressly set out in a separate enterprise agreement.

    18. Indemnification

    You agree to indemnify and hold harmless ZoraSafe and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms or laws; (b) your misuse of the Services (including unlawful recording or failure to obtain required consent); or (c) your User Content or interactions.

    (Enterprise mutual indemnities may be set forth in an MSA.)

    19. Dispute Resolution; Arbitration; Class Action Waiver

    Please read this section carefully. It affects your rights.

    Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@zorasafe.com and allowing 30 days for a response.

    Binding Arbitration. Except for claims that may be brought in small claims court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis under the rules of JAMS (or another mutually agreed provider).

    Class/Representative Actions Waiver. You and ZoraSafe waive any right to participate in a class or representative action.

    Opt-Out. You may opt out of arbitration by sending written notice to legal@zorasafe.com within 30 days of first accepting these Terms (subject line: "Arbitration Opt-Out").

    Governing Law; Venue. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. For any claims not subject to arbitration, the exclusive venue will be state or federal courts located in New Castle County, Delaware.

    20. Export Controls & Sanctions

    You represent that you are not located in or a resident of any country or on any list where the U.S. government prohibits use of the Services. You agree to comply with U.S. export and sanctions laws.

    21. DMCA; Notice & Takedown

    If you believe content on the Services infringes your copyright, contact our DMCA agent at legal@zorasafe.com with: (a) your contact info; (b) description of the work; (c) URL/identifier of the allegedly infringing content; (d) a statement of good-faith belief; and (e) a statement under penalty of perjury that you are authorized to act, plus your signature.

    22. Suspension; Termination

    We may suspend or terminate your access immediately for violations of these Terms, suspected fraud or abuse, nonpayment, or to protect users and the Services. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., §§ 3, 6–8, 10–11, 13, 16–21, 23–26) will survive termination.

    23. Force Majeure

    ZoraSafe will not be liable for delay or failure caused by events beyond its reasonable control, including carrier outages, natural disasters, acts of government, labor disputes, or internet failures.

    24. Order of Precedence (Enterprise)

    For enterprise/tenant customers with an executed MSA/Order Form/DPA, those documents govern and control over these Terms to the extent of any conflict.

    25. Changes to Terms

    We may update these Terms. For material changes, we will provide at least 30 days' notice via email and/or in-app notice with the new effective date. Your continued use after the effective date constitutes acceptance.

    Verified Callback: A feature that surfaces official contact numbers (e.g., your bank) so you can hang up and call back safely.

    Evidence Pack: If you enable recording, a package containing your recording, transcript, and call metadata for your personal use and sharing.

    Fuse/Cluster: A privacy-preserving threshold where multiple high-risk signals in a region or cohort trigger proactive defenses across nearby users.
